Are you a seasoned M&A professional with a strategic mindset and a passion for driving growth? AniCura is seeking an accomplished M&A Manager to oversee and execute high-impact merger and acquisition activities in Poland and Germany.

About AniCura:

AniCura is a family of well-known animal hospitals and clinics specialized in veterinary care for companion animals. AniCura provides modern, high-quality veterinary care for pets at over 500 practices in 15 European countries and creates peace of mind for pet owners through excellent access and patient safety. AniCura has a turnover of around $1B with the aspiration to expand business through a combination of organic growth and new hospital acquisitions. Every year, AniCura’s 12.000 passionate veterinary professionals attend to three million companion animal patients. Since 2018, AniCura has been a part of Mars Veterinary Health, a family-owned company focused on veterinary care.

Scope of the position

We have exciting plans to further expand our operations. This is a new position, and we are currently recruiting to our Merger & Acquisition team. In this position you will report directly to the Head of M&A and your main scope of work relates in the sourcing, execution and post-closing activities of the acquisitions AniCura .You will work independently on a large number of tasks related to the acquisition process from start-to-end.

  • Job Title : M&A Manager (Poland/Germany)

  • Experience : Minium 4-6 years experience in M&A

  • Reports To : Head of M&A

  • Department : M&A

  • Location : Poland

  • Education : Graduate degree level, or above

  • Languages : Proficiency in English, Polish [Mandatory] and German [Intermediate level]

  • Key Stakeholders : Onboarding Team, Finance Team, Business Development & Strategy Director, External Advisors

  • Contract : Full Time

    Your key responsibilities will include:

    Execution of M&A Growth Strategy

  • Implement an M&A growth strategy in Poland and Germany with a focus on quality acquisitions.

  • Ensure acquisitions enhance AniCura’s image as a quality service provider and knowledge leader.

  • Maintain seller satisfaction and meet their expectations through professional communication to ensure smooth integration into AniCura.

    Balance local leadership, financial interests, and quality veterinary care in acquisitions.

  • Build Relations and Reputation in National Markets

  • Actively engage in the local market to ensure sufficient deal flow.

  • Meet and network with key stakeholders to build AniCura’s profile.

  • Utilize internal networks within AniCura, including clinics, Country Managers, and other functions, to build relationships and reputation.

    Balance Deal Efficiency and Shareholder Interests

  • Streamline acquisition processes to protect AniCura’s interests without causing unnecessary delays.

  • Aim to conduct a high volume of acquisitions efficiently while maintaining quality.

    Maintain Professional Communication with Internal Functions

  • Keep line management updated during the M&A process.

  • Communicate transaction results to relevant internal functions post-closure.

  • Prepare investment cases and high-level budgets for the initial years following transactions.

    Lead and Execute Acquisition Process

  • Identify and analyze potential acquisition targets.

  • Pitch and present AniCura to potential targets.

  • Negotiate and agree on key terms with sellers, and sign letters of intent.

  • Organize and lead due diligence processes.

  • Set up effective corporate structures with Group Finance.

  • Monitor regulatory environments, focusing on medical feasibility.

  • Create and negotiate Sale and Purchase Agreements (SPAs) / Asset Purchase Agreements (APAs) with support from Senior Managers.

  • Successfully close transactions with the support of Senior Managers.

  • Lead immediate integration processes and transition responsibilities to other functions in AniCura.

    Additional Responsibilities

  • Participate in greenfield processes and other business development activities as needed.

    You are expected to have:

  • Solid experience from several successful M&A processes.

  • Comfort in executing the entire M&A process on both strategic and operational levels, with support from the team.

  • Experience in managing senior stakeholders effectively.

  • Demonstrated entrepreneurial spirit and action orientation, with strong business acumen and financial literacy.

  • Experience working in the region.

  • Evidence of being a top performer in previous roles.

  • Ability to translate business strategic directions into pragmatic action plans.

  • Proven skills in monitoring performance and adhering to planned actions.

  • Excellent communication and presentation skills.

  • Strong ethics and accountability.
