Convergint is looking for an experienced Commercial Contracts Paralegal (or Administrator) to provide support with commercial contracts and contract lifecycle management processes within the Legal Department. The Commercial Contracts Paralegal will partner with internal business colleagues to achieve desired results while minimizing legal and operational risks for Convergint. The Commercial Contracts Paralegal will be part of a dynamic legal team which provides opportunity for career growth.

The role is hybrid and will sit onsite 3 days/week and 2 days remote.

What You’ll Do

  • Review, draft, negotiate and facilitate execution of various types of commercial contracts such as construction contracts, maintenance contracts, managed services agreements, master service agreements, data privacy agreements, software-as-a-service agreements, NDAs, sourcing and professional services agreements, in order to meet legal, finance, compliance, and regulatory requirements per internal processes and procedures.

  • Review contract terms to identify any potential risk or compliance issues which deviate from company contract guidelines and risk tolerances.

  • Review documents related to bids or contracts and provides guidance to sales and others in the formation and execution of contractual agreements.

  • Knowledge of the US government system of federal, state, and local government and their agencies.

  • Act as liaison between the Legal Department and the business to process the customer and vendor contracts.

  • Collaborate with multiple departments including finance, operations, IT, procurement and other cross functional groups on contractual issues and other projects.

  • Draft or update processes, guidelines and policies as needed to support customer and vendor contracts.

  • Ability to work agreements originating from anywhere globally.

  • Perform other duties and responsibilities as requested or required.

Requirements

  • Education: Associates or Bachelors degree.

  • Paralegal degree or paralegal certification preferred.

  • 3-5 years reviewing, revising, negotiating and summarizing various commercial agreements, construction legal experience preferred.

  • Business and technical knowledge of key contract terms and legal issues in contracts.

  • Familiarity with AIA forms and other construction industry templates is a plus.

  • Commitment to a creative, inclusive, and diverse workplace, and ability to contribute to a sense of belonging in the broader Legal Department.

  • Ability to work independently, multi-task, and prioritize.

  • Flexible, adaptable, detail-oriented and self-starter.

  • Customer service and detail-oriented.

  • Excellent verbal and written communication and contract drafting skills.

  • Familiarity with processing contracts through a contract lifecycle management system.

  • Proficient in Microsoft Word, Excel, Outlook, and PowerPoint.
