A Brief Overview In furtherance and support of CHOP's mission, the Sr. Director & Associate General Counsel provides legal counsel and services to CHOP leaders and other stakeholders on a wide range of legal issues. The Sr. Director & Associate General Counsel is expected to work independently with minimal supervision. The Sr. Director & Associate General Counsel will be expected to exercise solid judgment and rely on developed skills and experience in performing the daily job responsibilities.

What you will do Provide legal guidance and advice to organizational leaders and other internal stakeholders on legal issues that arise in a health care setting with a focus on a particular area of expertise (e.g., litigation, corporate, regulatory, etc.) Provide thoughtful and sophisticated legal services on complex matters Work closely with organizational leaders, including executives and at times board members, in addressing institutional legal and risk matters Work collaboratively as part of the Office of General Counsel and with clinical, administrative and research leaders throughout the organization in identifying and developing proactive and creative solutions to legal issues Remain current on legal developments in areas of expertise and assist organization in responding to changes in laws/regulations/legal risks. Provide periodic on-call legal services for urgent and emergent legal matters arising outside of traditional business hours Prepare and present trainings to internal stakeholders on relevant legal issues Demonstrate intellectual curiosity and a passion for learning in analyzing and synthesizing complicated legal and business matters Assign, oversee and actively manage the work of outside counsel in appropriate matters Perform the duties further described in the attached Job Description Addendum and such other legal duties as may be assigned from time to time

Provide legal support, including identification and analysis of legal and business risks, for a wide range of corporate and regulatory matters in an academic medical center setting, including without limitation: Assist leaders in exploring appropriate and creative legal structure options for potential affiliations, collaborations, joint ventures, acquisitions and other transactions with other provider organizations or businesses; Support revenue cycle initiatives, including negotiation and drafting of payor contracts, analysis of payor disputes and recovery options, and development of policies and processes Provide guidance on structure, governance and operation of corporate subsidiaries and affiliates, including physician practice plans; Support business and clinical leaders in the analysis, contracting and implementation or expansion of new or emerging areas, including telehealth, global health, and cell and gene therapies; Identify, analyze and provide guid nce on health care regulatory issues, including antitrust, privacy, fraud, waste and abuse, nonprofit/tax, and physician and facility licensure; and collaborate with insurance, risk management, internal audit, compliance and privacy teams in performance of all activities on behalf of the organization.

Education Qualifications Juris Doctor (JD) Required

Experience Qualifications At least fifteen (15) years' experience with a strong preference for experience providing advice to health care clients and previous in-house experience Required.

Licenses and Certifications Licensed with Pennsylvania Bar - Disciplinary Board of the Supreme Court of Pennsylvania - within 12 months - Required
