Robert Half Coporate Paralegal in Philadelphia, Pennsylvania
Description
We are looking for a Corporate Paralegal to join our team in Philadelphia, Pennsylvania. As a Corporate Paralegal, you will be involved in corporate governance, maintaining corporate minutes and stock records, and assisting with compliance training. This role is a long-term contract position, offering the chance to contribute to our team in a significant way.
Responsibilities:
• Assist in the management and organization of corporate governance, ensuring compliance and accuracy.
• Maintain corporate minutes book, keeping detailed and organized records of corporate meetings.
• Manage corporate stock work, ensuring accurate records and updates as needed.
• Assist in the creation and maintenance of compliance training materials, including slide decks and other resources.
• Support the processing and management of stock option plans, ensuring accuracy and compliance with regulations.
• Assist with the preparation and filing of documents for the Securities and Exchange Commission (SEC).
• Work closely with the board of directors, providing necessary support and information as needed.
• Support various other tasks as required within the corporate paralegal role.
Requirements
• Proficiency in Corporate Governance
• Experience with SEC Financial Reporting
• Familiarity with Corporate Minutes Book management
• Ability to accurately document Meeting Minutes
• Strong understanding of Compliance procedures and regulations
• Excellent written and verbal communication skills
• Ability to work independently and collaboratively in a team setting
• Strong organizational and multitasking skills
• Proficient in Microsoft Office Suite (Word, Excel, PowerPoint)
• Bachelor's degree in paralegal studies or related field is preferred
• Previous experience in a corporate paralegal role is a plus
• Familiarity with legal research tools and databases is advantageous
