Job Duties: Associate with Goldman Sachs & Co. LLC in New York, New York. Structures, analyzes, and executes transactions on behalf of companies and covers companies in the consumer and retail (CRG) space. Reviews proprietary financial models for the CRG sector, such as mergers & acquisition (M&A), discounted cash flow (DCF), and leveraged buyout (LBO) valuations. Helps senior team evaluate models to develop key judgments. Independently liaise with senior bankers and product experts throughout the firm including Equity Capital Markets, Debt Capital Markets, Legal, Credit, M&A Structuring, among others, to ensure seamless deal execution. Analyzes accounting and regulatory statements, debt and equity filings and documents, financial projections and models as prepared in various formats by clients. Prepares and reviews financial modeling work and presentations prepared for live deals, corporate board meetings, investment banking pitches and client service projects on corporate finance topics; supervises and reviews memoranda required to gain internal approvals from typical investment banking committees. Presents to Chief Executive Officer (CEO) / Chief Financial Officer (CFO) level corporate clients in the CRG sectors on topics such as strategic alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls. Interacts with senior management on a regular basis to execute projects, provide updates and advice and prepare presentation materials especially as it relates to M&A and equity underwriting processes. Facilitates live deal execution, including running due diligence processes, producing marketing materials, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and non-deal roadshows and liaising other investment banks and other parties within the Investment Banking division. Generates ideas and topics for client meetings with existing clients (e.g. assists clients in identifying potential acquisition targets) and socializes those ideas with the internal deal teams, the client’s CFO, CEO and management teams. Leverages and performs due diligence on company research reports and financial models from sell-side equity analysts and credit ratings reports and financial models from ratings agencies such as Fitch, Moody’s and S&P. Drafts financing and offering documents. Assists companies in preparation of materials to present to potential buyers of the company or their securities especially as it relates to companies in the CRG space. Reviews and comments on complex legal documents including offering documents and stock purchase agreements.Job Requirements: Bachelor’s degree (U.S. or foreign equivalent) in Economics, Finance, Business Administration, Accounting, Professional Accountancy, or a related quantitative field. Two (2) years of experience in the job offered or in a related role. Prior experience must include two (2) years with the following: providing financial advice on M&A transactions, capital raising, and other complex financial transactions; providing coverage of mid and large cap publicly traded companies typically in excess of $10bn Enterprise Value; developing complex presentations and financial models using Microsoft Office, Excel and PowerPoint; participating in structuring and executing M&A, equity, and debt financing transactions; building and reviewing financial models including operating models, M&A, DCF and LBO valuations and models; performing due diligence, research, analysis, and documentation of live transactions; producing marketing materials for sell-side M&A processes and debt and equity underwriting processes; utilizing Bloomberg and Thomson Reuters Eikon (or other similar platforms) and credit rating agency research and analytics (including Fitch, Moody’s, or S&P) in order to perform analysis and research; and presenting and working with senior executives of clients on mergers & acquisitions (M&A), corporate strategy, and financing alternatives. License required: Series 79. Domestic and international travel required <10 % the time for client marketing meetings and live deal execution.
