Robert Half Corporate Paralegal in Minneapolis, Minnesota

Description

We are inviting applications for the role of a Corporate Paralegal in Minneapolis, Minnesota. This role is central to our client's operations and involves preparing and managing various legal documents, assisting with large-scale contract production, and supporting with business transactions such as mergers and acquisitions. This position provides an excellent opportunity to utilize your legal skills in a dynamic setting.

Responsibilities:

• Formulation and amendment of various business entities' documents, including corporations, partnerships, nonprofit organizations, and limited liability companies.

• Management and preparation of registration and maintenance documents to ensure entities are in good standing and compliant with corporate and business registration requirements.

• Drafting of business entity documents like operating agreements, shareholder and board meeting minutes, stock certificates, and other relevant agreements.

• Maintenance of entity record books, including corporate actions, capitalization tables, and stock ledgers, ensuring the records are current and easily accessible.

• Assistance in the administration of equity incentive plans, preparation of equity grants using form agreements.

• Management of multiple financings and deals simultaneously while keeping corporate records up-to-date.

• Assisting with significant corporate transactions such as mergers, acquisitions, private placement equity investments, and joint ventures.

• Organization and preparation of due diligence materials, tracking and communicating due diligence responses.

• Serving as the primary interface with filing services for any business entity filings required to complete a transaction.

• Assisting in the closing of business transactions, including preparing and maintaining closing checklists, drafting ancillary documents, preparing signature pages, updating schedules, and compiling fully executed copies of documents and agreements.

Requirements

• Paralegal experience, supporting similar practice, minimum of 5 years.

• Proficient in Entity Formation, UCC Searches, Merger & Acquisition due diligence support

• Comfort with common office software programs and case/client management software

• Excellent verbal and written communication skills
