Description : Fox Rothschild LLP has an opening in multiple offices in our Entertainment and Sports Law Department for an Associate with Corporate and Music experience. The ideal candidate will have four to six years of experience in the corporate and/or music department(s) of prominent law firm(s). We are not accepting resumes from search firms for this position at this time.

Qualifications : Juris Doctorate (JD) required. The candidate must be licensed to practice in the state where the office resides.

Knowledge, Skills, & Abilities :

  • Experience with a prominent law firm that has both corporate and music departments or equivalent.

  • Familiarity with asset purchase agreements, stock purchase agreements, recording contracts, various publishing contracts, producer agreements, songwriting agreements, tour and tour-related agreements, management agreements, operating agreements, shareholder agreements, corporate governance and investment documents.

  • Working knowledge of both mergers and acquisitions in the music space and standard music transactions.

  • Experience with music catalog sale due diligence.

  • Strong drafting, organizational and time management skills. Detail oriented.

  • Ability to work with and coordinate copyright due diligence and trademark searches, with the assistance of IP counsel.

  • Ability to run acquisition and sale deals with partner oversight.

Work Environment & Physical Demands

This job operates in a clerical, office setting. This role routinely uses standard office equipment including, but not limited to computers, telephones, printers, and copiers.

Physical Requirements

Sedentary work: Exertion of physical strength to lift, carry, push, pull, or otherwise move objects up to 10 pounds. Work involves sitting most of the time. Walking and standing is often necessary in carrying out job duties.

Visual Acuity

Worker is required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading.

Compensation & Benefits

• The salary range for this position applies to California and New York. The salary range reflects a variety of factors that are considered in making compensation decisions, including but not limited to experience, education, licensure and/or certifications, geographic location, market demands and other business and organizational needs. It is not typical for an individual to be hired at or near the top of the range for a position. A reasonable estimate of the current range for this position is $205,000 - $250,000.
