Your Role

As the Head of Legal US at Kuehne+Nagel Inc. you will serve as a key leader and member of our National Board. Reporting to the President of Kuehne+Nagel US, this role requires an experienced candidate who can provide in-house advice on all relevant legal matters of our United States business. From corporate governance, contracts, regulatory compliance, mergers and acquisitions and intellectual property to employment law and litigation, the role requires a broad generalist who can confidently operate in a collaborative, responsive and proactive matter to gain the trust of their business partners across the organization.

Your Responsibilities

  • Overlook, translate and assure the global governance and legal strategy of the Kuehne+Nagel Group is being applied and adhered to in line with applicable United States laws and regulations.

  • Provide legal counsel and guidance to the officers, employees, and serves as a member of the National Management Board and United States Company Secretary of its Board of Directors, providing guidance on a variety of legal and policy matters, in particular of domestic importance, relevant to the Company.

  • Anticipate and identify legal issues and counsel officers of the Company and other upper management to develop legal (defense) strategies and solutions.

  • Review, draft, and negotiate contracts, including without limitation commercial agreements, employment and consulting agreements, customer and vendor agreements.

  • Experience with employment law matters and can serve as the manager of the Company’s legal labor and employment dedicated employee Represents or oversees the representation of the institution and upper management in judicial, regulatory, and administrative proceedings.

  • Select and oversee outside counsel according to the Kuehne+Nagel's Catalogue of Competencies.

  • Develop, manage the annual departmental budget and tracks outside counsel spend.

  • Provide support for mergers and acquisitions, and other key corporate transactions in close cooperation with the responsible Corporate Office and Head of Merger and Acquisition Law.

  • Advise internal stakeholders and manage outside counsel on the Company’s litigations and regulatory matters.

  • Identify upcoming legal and/or regulatory changes within their area of responsibility and works across business and functional units to implement necessary changes to address new United States legal or regulatory landscape.

  • Maintain the corporate books and records of the Company and its subsidiaries.

  • Understand risks, in particular with respect to classification and/or wage & hour (e.g. meal and rest break penalties), and able to work with Company subject matter experts to advise in locations and facilitate the performance of audits to gauge level of compliance and company risk in close cooperation with the responsible Human Resources Compliance person.

  • Liaise with sister companies around the world to implement Group Legal (Headquarters) initiatives in the United States and/or collaborate to further multinational objectives.

  • Manage, develop, train, and promote team in furtherance of their career development and finds new experiences to develop team’s skill set and legal capabilities.

Your Skills and Experiences

  • Juris Doctor from an accredited U.S. law school, and ability to register as in-house counsel with the State of New York or New Jersey.

  • Minimum of 7 years of relevant legal experience in the United States. In-house and logistic industry experience is highly preferred.

  • Experience operating in a collaborative, responsive and proactive manner and gaining the confidence and trust of business partners throughout the organization.

  • Broad generalist experience in areas including without limitation corporate governance, commercial transactions, contracts, regulatory compliance, mergers and acquisitions, intellectual property and employment law.

  • Experience managing and leading a team.

Total target compensation range is $240,000 to $380,000 which is inclusive of a competitive bonus opportunity. Base salary is part of a competitive total rewards package that includes health and welfare benefits, a 401k retirement savings plan, tuition reimbursement, and incentive compensation for eligible roles. Individual pay may vary from the target range and is determined by a number of factors including experience, skills, job location, internal pay equity, and other relevant business considerations.
