Job Description

The Position

As Tax Counsel for the Company, you will provide advice on business transactions, develop, manage, and implement tax planning strategies and special projects, and educate the team on developments in U.S. tax law.

This position reports to Executive Director, Tax Transformation, Strategy & Planning.

Responsibilities

  • US technical tax planning responsibilities.

  • Minimizing Organon’s U.S. tax risks in third-party deals.

  • Advising Tax Leadership regarding optimizing Organon’s tax structure from a U.S. tax perspective and educating the Tax Team regarding U.S. tax law changes.

  • Provide U.S. tax technical advice for mergers and acquisitions (M&A) including acquisitions, business development and licensing deals, joint ventures, divestitures and restructurings including due diligence, design and implementation of structuring, financing and post-acquisition integration.

  • Provide tax technical advice for tax planning initiatives to optimize worldwide tax liabilities.

  • Take the necessary steps to minimize tax risks in transactions.

  • Provide tax technical advice on matters in controversies.

  • Manage projects with outside counsel and consultants.

  • Inform Tax Leadership of new U.S. tax developments.

  • Oversee the overall tax technical training needs of the group including preparation of materials, presenting, and organizing critical training.

Required Education, Experience and Skills

  • J.D. is required along with being a member of the Bar, in good standing.

  • A minimum of five plus years of tax planning experience in an accounting firm or business law firm and/or tax department of a medium to large size multi-national corporation.

  • Superior technical skills in relation to U.S. taxation of business and cross border/international transactions.

  • Detail-oriented individual who takes ownership of projects.

  • Strong written and verbal communication skills, particularly around the ability to translate complex technical concepts to leadership, tax colleagues, and other non-Tax Department colleagues.

The applicable salary range for this position in the U.S. is stated below. Benefits offered in the U.S. include a retirement savings plan, paid vacation and holiday time, paid caregiver/parental and medical leave, and health benefits including medical, prescription drug, dental, and vision coverage in accordance with the terms and conditions of the applicable plans.

$166,100.00 - $282,600.00
