Kedrion Biopharma, Inc. Counsel in Durham, North Carolina

The Counse l reports to our Assistant General Counsel, Commercial and is a hybrid position, located in or around Durham, NC or in the Fort Lee, NJ headquarters. Kedrion’s growing businesses focus on the collection of plasma via blood donation (“Plasma Business”) and the manufacturing and commercialization of plasma derived products (“Therapeutics Business”). In this global role, the Counsel will primarily support the commercial and regulatory functions of the Therapeutics Business (as well as ad hoc support for other functions, such as HR, communications, and business development), and assist the Plasma Business, including with litigation support and support for potential M&A activities.

Responsibilities:

  • Provide day-to-day legal support, advice and counsel for the Therapeutics Business, on a variety of commercial and regulatory matters, with a particular focus on providing advice in connection with the Anti-Kickback Statute, False Claims Act, and FDA regulatory guidelines and similar global laws and regulations

  • Serve as the legal representative on promotional review committee for some of Kedrion’s products sold in the United States and a resource for similar reviews conducted outside the United States

  • Draft, review and negotiate a variety of contracts, collaborating with business units at all levels of the organization to ensure that agreements adequately protect Kedrion’s interests, from both a legal and business perspective

  • Collaborate with senior leadership within the different business units, business development personnel and the legal and finance teams regarding the negotiation of M&A deals and strategic transactions

  • Partner with and manage the support of outside counsel for any potential litigation, including commercial disputes and HR-related litigation; provide supporting documents, aide in any investigations, review of court documents and negotiating settlements with support from Sr. Leadership

  • Drive innovation and actively contribute to new strategies supporting business goals. Identify and develop “best practices” in support of key projects and initiatives; support the continuous improvement of templates and legal processes; create and deliver training to internal stakeholders as needed

  • Assist with and support legal and corporate due diligence activities on strategic transactions, as requested and actively participates in all projects within the legal department as necessary

  • In collaboration with others, create and implement new policies, templates and/or processes

  • Educate clients regarding relevant legal updates, industry and regulatory developments, industry best practices, and risk mitigation solutions.

Requirements:

  • JD from an accredited US law school.

  • Member in good standing of a state bar

  • 3-7 years of related experience in a legal counseling role either in-house or at a major law firm

  • Strong knowledge and key expertise in multiple areas of law, including: contracts, procurement, pharmaceuticals/healthcare, labor and employment, regulatory, transactions preferred

  • Pharmaceutical/biotech industry or hospital system experience preferred but not required

  • Practical and proactive problem solver who possesses strong business acumen

  • Strong interpersonal skills and considered a trusted partner

  • Ability to appropriately triage workflow, setting priorities with internal clients and delivering results efficiently

  • Ability to ensure internal clients receive sound, practical and timely legal advice and ability to support and foster strong working relationships with internal clients, while balancing legal risks

  • Ability to work cooperatively in a team environment with a wide variety of company personnel on a broad range of matters

  • Proven ability to work with a high level of integrity, accuracy and attention to detail

Please note that the annual base salary for this role will be in the $100ks. Final salary offered will be based on: relevant experience, education and certifications.
