Description of Job

The contracting team exists to work with public and private entities, nonprofit organizations and public housing authorities to create and rehabilitate housing for low and moderate income persons; to provide shelter and supportive services to the homeless; to provide safe, sanitary, decent housing for low and moderate income persons and families throughout the state through allocation of funds from federal and state grant programs; and, delivery of technical assistance and training to applicants and grantees.

Under the mission of DOLA, the Contract Administrator IV will be the subject matter expert for subordination agreements, which include complex transactions involving multiple lenders, junior lenders and senior lenders. This position is responsible for preparing and executing loan and grant agreements. These agreements contain the terms and conditions upon which the State of Colorado will provide state and/or federal funds to local governments and to qualified applicants for use in the acquisition, development, rehabilitation, and preservation of affordable housing, supportive housing, emergency shelters, providing housing services, and other housing-related assistance.

The primary duties and responsibilities of this position include, but are not limited to:

  • Responsible for drafting DOH subordination agreements. As staff authority on subordination agreements, this position develops standard inquiries for other parties to the agreements.

  • Interfaces regularly with legal counsel for the borrower, legal counsel for the investor, and legal counsel for other lenders in the transaction and must be able to successfully negotiate with borrowers, lenders, tax credit investors,and their attorneys regarding loan terms and any proposed changes to the draft loan agreement and/or the exhibits.

  • Responsible for drafting and negotiating terms and conditions of various loan documents (including promissory notes, deeds of trust, use covenants, and regulatory agreements).

  • Track the underwriting of the transaction by the Development Specialist.

  • Review, investigate and understand any unique aspects of the proposed transaction (such as the proposed use/creation by the developer of a common interest community, leasehold estate, or land trust) early in the development process and potential impacts on the contracting process.

  • Responsible for reviewing lender subordination agreements, and understanding how the terms and conditions contained in the lender’s form impact DOH’s ability to: enforce the terms and conditions contained in DOH’s loan agreement; collect loan payments; foreclose the deed of trust; and enforce the affordability restrictions contained in use covenant.

  • Develops and recommends subordination-related policy to division and department management.

  • Draft grant agreement and all exhibits, using approved templates, including, as appropriate, the statement of project, rent & Income limits tables, and the use covenant/regulatory agreement.

  • Coordinate DOH-wide contract monitoring. This position is the subject matter expert, developer and maintainer of a division-wide contract management handbook.

  • Train DOH staff on best practices for contract monitoring to ensure minimal statutory violations are incurred by DOH.

  • Evaluate borrower and lender requests following the original transaction closing. Research transaction history. Draft amendments, option letters, loan modifications, releases, consents, subordinations, and other post-closing documents.

  • For all audits, coordinate the applicable units and offices from scheduling meetings, responding to documentation and ensuring documentation is uniformly compiled.

  • Draft the loan agreement and all exhibits thereto (such as Statement of Project, promissory note, deed of trust, use covenant and regulatory agreement, and subordination agreement(s), and circulate for borrower and lender review, as appropriate.

MINIMUM QUALIFICATIONS

Experience Only:

Seven (7) years of experience managing or administering legal grants or contracts with at least three of those years directly drafting, negotiating, managing and closing contracts, grants, and subordination agreements.

OR

Education and Experience: A combination of related education in finance, lending, business management, policy, public administration, real estate, law, legal studies, or a closely related field (as determined by the agency) AND experience as described above equal to seven (7) years. There is no substitution for the 3 years of experience with contract management and subordination agreements as described above.

  • Knowledge of the components of a Scope of Work including project description, performance requirements/deliverables, budget, invoicing, and monitoring

  • Experience with State of Colorado contracting, procurement, and/or contract management processes

  • Juris Doctor degree or paralegal certification
