KPMG's Office of General Counsel (OGC) is currently seeking an Assistant General Counsel to support our Firm's Audit and Advisory Practices.

Responsibilities:

  • Advise on legal and regulatory requirements applicable to auditors of public and private companies, including PCAOB and SEC requirements

  • Provide legal counsel to the Audit and Advisory Practices and their respective Risk Management groups to resolve potential client disputes, including investigating the facts, developing negotiation strategies and tactics as well as client messaging, addressing conflict of interest concerns and negotiating and drafting settlement documentation

  • Give counsel to leadership and personnel of the Audit and Advisory Practices and their respective Risk Management groups with respect to Firm strategic initiatives, including development of new services, new staffing models and new business processes

  • Advise on regulatory developments impacting the Audit and Advisory practices; provide counsel on matters related to access to Firm and client documents and information by third parties, including access to KPMG work papers and disclosure of client data to third parties; provide counsel on various client engagement-related matters, including client continuance, non-acceptance and termination decisions and third-party reliance on KPMG client deliverables

  • Report to Lead Counsel for Audit in OGC's Practice Advisory Group and maintain periodic consultation with the Deputy General Counsel of PAG and the General Counsel

  • Supervise and work collaboratively with outside counsel and other members of OGC to deliver the highest quality legal representation to the Firm and its leaders; assist in developing financial projections for supervised matters

Qualifications:

  • Minimum seven years of recent experience representing audit firms or public companies in complex civil and regulatory matters in a well-regarded law firm(s) or providing similar advice in an in-house legal department

  • JD or LLM from an accredited law school, and licensed to practice law in the U.S., including in the state in which his/her office is located

  • Knowledge of professional standards and regulatory requirements applicable to the audit profession; familiarity with securities laws and the regulatory requirements affecting SEC registrants; prior work experience with the Public Company Accounting Oversight Board or Securities and Exchange Commission a plus; experience as an auditor or other kind of accountant a plus

  • Experience with, exposure to, or strong interest in learning about legal issues impacting the provision of advisory and/or consulting services

  • Able to manage multiple matters and projects simultaneously and meet deadlines with consistently high-quality deliverables and results; strategic thinking in sensitive and complex situations with the highest ethical standards, integrity, authenticity, credibility and character

  • Demonstrated collaboration skills, including building robust business partnerships and working within cross-functional teams; client-service orientation with the ability to create effective working relationships cross-functionally, including interfacing with internal and external stakeholders on legal and business matters; excellent analytical, writing, interpersonal, communication, client counseling and oral advocacy skills
