The Sr Manager, Business Development & Tax Planning is responsible for M&A tax planning, structuring, and integration work. This individual is a core member of the GE Healthcare Business Development team with an active M&A pipeline.

Job Description

Role and Responsibilities

  • Support total M&A cycle - including due diligence, structuring, deal agreements and integration

  • Tax consulting and planning e.g., analyzing proposed transactions for tax risks and/or tax benefits

  • Tax-efficient transaction structuring and corporate restructuring e.g., develop pre- and post-transaction restructuring, integration and repatriation strategies

  • Lead complex global due diligence e.g., coordinate with outside advisors and communicate risks and opportunities

  • Tax strategy formulation and financial modeling e.g., performing financial analyses to assess the tax consequences of specific transactions

  • Oversee transaction documents, coordinating with outside counsel as needed

  • Work on multiple complex issues while communicating with Sr. Leadership in a non-technical manner to facilitate communication between the tax and the broader teams.

  • Serves as an integral member of the core deal team for M&A transactions, as well as other business development initiatives including minority investments and strategic collaboration agreements

  • Manage and oversee outside counsel to obtain cost-effective legal and tax services

  • Collaborates closely with other teams, including supply chain, finance, legal, labor and employment, litigation and regulatory

  • Provides additional support, as needed, for business critical tax planning initiatives

Qualifications

  • JD or CPA certification required

  • 7+ years of experience in a tax role at a public accounting firm, law firm, or large multinational company, with a focus in M&A Tax

Desired Characteristics

  • Strong tax technical skills and experience in calculating the tax consequences of a deal for use in financial modeling

  • Experience reviewing the tax section of diligence reports, financial statements, and valuation reports

  • Experience working with external counsel to draft relevant contract provisions

  • Developing structuring plans to guide execution in a manner that meets the business and other functional teams needs

  • Coordinating tax accounting to ensure that transactions are properly recorded in the books and records

  • Collaborating within Tax team to ensure that all projects are accurately reported and are properly documented for audit

  • Comprehensive understanding of U.S. tax law/rules and implications

For U.S. based positions only, the pay range for this position is $155,040.00-$232,560.00 Annual. It is not typical for an individual to be hired at or near the top of the pay range and compensation decisions are dependent on the facts and circumstances of each case. The specific compensation offered to a candidate may be influenced by a variety of factors including skills, qualifications, experience and location. In addition, this position may also be eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI).
