PURPOSE OF THE POSITION:

We are looking for an energetic and flexible team player who takes a business approach to the law. This role involves providing support to the Office of the Corporate Secretary for various corporate governance matters, as well as support to CPKC’s Treasury, Pension, Financial Reporting and Sustainability teams. A good working knowledge of Canadian and U.S. securities laws, including SOX Compliance, and cross-border public financing would be essential for this role. A strong background in pension plans and pension governance is also preferred. Reporting to the Senior Legal Counsel – Corporate, the successful candidate will be part of an established team of lawyers and paralegals, working with internal subject matter experts, senior managers, executives and external counsel, gaining exposure to a variety of sophisticated corporate governance, financing, banking, pension and other commercial/corporate matters. This role may also involve working on mergers, acquisitions and divestitures, corporate re-organization, company policies, and other matters that arise from time to time.

POSITION ACCOUNTABILITIES:

  • Research legal matters, provide legal opinions and advice on a variety of pension, financing and banking matters, and corporate disclosure requirements

  • Review and draft contracts and documents related to various assigned areas of company operations. Advise on a broad range of financing and commercial agreements, credit agreements, license agreements, letters of intent, merger, acquisition and divestiture agreements, joint venture agreements and confidentiality agreements

  • Assist with the preparation of continuous disclosure and regulatory compliance documents

  • Coordinate work with outside legal counsel to:

  • Instruct, direct and oversee their performance of CPKC legal work

  • Review work completed by outside counsel and distilling such advice.

  • Accountable for independent handling and case management of significant legal files in the financing, banking, pensions and commercial/corporate areas from presentation of the legal issue through to conclusion of the file

  • Liaise and collaborate with other members of the Legal Services and Corporate Secretary teams as necessary to ensure comprehensive and consistent

POSITION REQUIREMENTS:

  • Membership in the Law Society of one or more of the provinces of Canada

  • 5 - 8 plus years of demonstrated experience, including some transactional experience, gained from a top tier firm, boutique or in-house

  • Demonstrated experience in completing transactions with successful results

  • Knowledge of the business and regulatory environment that companies in federally regulated businesses operate in (e.g. railway, telecom, pipeline) operate in and understanding of law

  • Ability to apply applicable legal principles to CPKC business and operations, and to transform these principles into proactive, effective and strategic advice for senior leaders

  • Ability to communicate legal principles, and explain the business implications of such principles, effectively and pragmatically

  • Managing relationships with outside counsel

  • Organizational skills acquired via experience with managing conflicting priorities and high volumes of work

Management Conductor Program:
