We are seeking qualified candidates for the position of Sr. Legal Counsel to support the legal function for Resideo Technologies, Inc. This is an incredibly exciting time to join the team at Resideo. Your role as a Legal Counsel will be as part of a global legal team that protects Resideo against unjustifiable risks resulting from business transactions, as well as providing legal and contracting support and guidance to Sales and Procurement professionals.

You will be responsible for drafting, reviewing and negotiating agreements with suppliers and customers in the EMEA region (including OEM customers), in conformance with Resideo standard contractual terms, and will interface with customers and suppliers in efforts to resolve legal and commercial contract related problems and disputes. You may be involved in corporate restructuring work for Resideo subsidiaries in Europe. You will work directly with the Resideo business teams in Europe to expedite turnaround time on all requests. You will keep abreast of industry-specific regulations and ensuring that appropriate risk management strategies are in place to comply with all applicable laws, regulations and standards, good business practices and company-documented procedures and Code of Conduct.

JOB DUTIES:

  • Draft, implement and maintain up-to-date standard contracts for all standard business and procurement transactions.

  • Review proposed business contracts and identify risk areas to business management with recommendations as to risk containment.

  • Support OEM business team on legal review of development projects, and NPIs.

  • Support new service offering projects in EMEA for connected devices and related platforms.

  • Coordinate with other functions to obtain input on commercial and legal issues relative to their areas of expertise and consolidate and incorporate issues of concern into risk containment recommendations.

  • Independently review and negotiate customer, and procurement contracts (both on direct and indirect side).

  • Prepare resolutions, board minutes and other documents as required for corporate entity maintenance.

  • Assist with legal support in various new business projects including Mergers and Acquisitions as required.

  • Prepare, revise and standardize processes for negotiations.

  • Research laws and regulations as required to advise on regulatory compliance.

  • Promote compliance with all Resideo and ADI policies.

  • Proactively develop process related improvements including help internal teams in creation and customization of contract management tools to suit the organizational need, and advice associates on e-platform available in this regard.

YOU MUST HAVE:

  • Master's degree in law with post qualification (preferable) 6+ years of experience in commercial contracts drafting, review and negotiations.

  • Experience working for a US based international company with hands on experience working on contracts and in a legal department globally.

  • Fluent in English & Czech; knowledge of German or French language is an advantage.

  • Proven success in complex negotiations with North American or European counterparts including OEM customers.

  • Experience in commercial contracting, working on development projects, contract development, subsidiary management, contract management, negotiating and drafting.

  • A self-starter who has a willingness to learn and grow with the business.

  • Familiarity with Word, PowerPoint, Excel, Contract Management software (including administration and customization).
