Job description:
Capgemini’s Legal Department seeks a senior transactional attorney to handle contract review, drafting, and negotiation in information technology domains (e.g., outsourcing, infrastructure, consulting, and large-scale transformation) in accordance with company policies and legal requirements. The role requires minimal supervision, team collaboration, open communication, and strategic thinking, along with adherence to review timelines and attention to detail. Experience within the financial services industry is preferred.
Key Responsibilities:
The attorney should have demonstrable experience as a business partner, working in the in-house environment:
• Collaborate closely with business organization (spanning multiple time zones) to engage with potential and future clients, through the drafting, review and negotiation of proposed contracts (e.g., master services agreements, statements of work, vendor, alliance and partnership agreements, with the ability to strategically identify commercial and operational mitigations to close deals.
• Collaborate with internal stakeholders and cross-functionality, including commercial and contract management, procurement, finance, and various subject matter experts.
• Provide practical advice on transactional data privacy, cybersecurity, and AI/GenAI matters, including support related compliance initiatives, guiding risk assessments and providing holistic counseling to the business organization.
• Contribute to legal strategy and day-to-day management of any potential disputes and investigations, in collaboration with the litigation team.
• Contribute to initiatives to improve and streamline legal systems and processes through the use technology and improved legal delivery models.
Required Skills:
The attorney should have 10-15 years of prior experience, including at least 5 years of in-house experience. They should demonstrate initiative towards action and resolution, as well as agility and flexibility to take on new tasks and responsibilities when necessary to support the business organization and/or Legal Department needs in a fast-moving, rapidly-scaling, and dynamic information technology transformation company. Proficient knowledge and experience with the complete contract negotiation life cycle and post-obligation management are essential. The candidate must have the ability to treat sensitive and confidential information with appropriate discretion, comprehend complex financial and business concepts, issues, and risks, and suggest viable alternatives during negotiations. Furthermore, detailed organizational skills and the ability to prioritize based on evolving business organization and team needs to support Capgemini’s goals are required. The attorney should operate with integrity, excellent judgment, and a high degree of emotional intelligence, and be prepared to build strong collaboration channels with peers and stakeholders across the business organization.
The attorney should have a law degree (or L.L.M. equivalent) from a reputable law school and admission to practice law in one (1) U.S. jurisdiction (or the equivalent).
