Senior Corporate Counsel (I, II or III) – Commercial Transactions – Remote

Level dependent upon experience

We provide global contract research and development and manufacturing services to the pharmaceutical and biotechnology industries.

The Senior Corporate Counsel I/II/III (depending on qualifications/experience) candidate will join our in-house legal team, providing legal advice and support on a wide variety of matters, with principal emphasis on commercial contracting, in support of one or more of Curia’s R&D and Drug Product Manufacturing business units. R&D, via locations across the US and India, offers outsourced biology, analytical, medicinal chemistry, chemical development, small scale active pharmaceutical ingredient (API) development services. Drug Product, via locations across the US and in Scotland, offers formulation development, engineering, and manufacturing of injectable drugs at large, commercial scale. The candidate will draft and negotiate contracts with customers globally, and actively support Sales and Operations on day-to-day commercial issues, in addition to contributing more broadly within the Legal Department.

This position will report to the Vice President, Deputy General Counsel for transactions and intellectual property, and will support other senior attorneys and business partners, as part of a collaborative legal team. The role will interact extensively with mid-level to C-suite business partners, and have high visibility within the organization.

This position may be located in Albany, NY, a different global site, or be fully remote. The Commercial Transactions attorney will join a diverse and fast-paced Legal and Compliance Department of experienced and collaborative attorneys and professional staff currently based in the Albany corporate office, Spain manufacturing site, India R&D site, and remote locations.

Responsibilities

  • R&D and/or Drug Product Business Unit:

  • As part of a team of transactions attorneys, act as a business partner to the R&D and/or DP Manufacturing business unit, including Sales VPs and BU Presidents, providing support and counsel primarily for contracting/transaction matters. Specific areas of responsibility with respect to business unit may vary based on experience, and project allocation within the Legal Dept.

  • Negotiate high-value, complex, long-term contracts with customers and suppliers, satisfying the company’s business growth objectives while mitigating risk exposure

  • Play an active role designing and negotiating various business deals, in partnership with Sales and Procurement colleagues

  • Identify business issues on customer and vendor contracts and advise internal clients to enable them to make judgment calls on such issues

  • Provide strategic advice and legal counsel on disputes and contract interpretation issues

  • Work closely with business development, IT, finance, tax, scientific, procurement, regulatory and quality groups and other key internal stakeholders in support of the business and operations teams

  • Provide periodic training to Sales staff on negotiation strategies, contracting, and relevant legal issues

  • General Legal Matters and Initiatives:

  • Provide support to the General Counsel, Deputy General Counsel and other members of the Legal Department on a variety of matters

  • Assist with the development and implementation of legal and cross-functional initiatives to streamline and optimize certain legal functions, including the company’s contracting process

  • Advise on general legal matters

Qualifications

  • J.D. from an accredited law school and licensed to practice in a U.S. jurisdiction.

  • 8+ years of relevant experience at a leading law firm and/or in-house legal department, preferably in the life sciences or pharma industry, or other provider of R&D / manufacturing services

  • Significant experience in drafting and negotiating complex contracts in a business setting, involving various risk profiles and intellectual property considerations

  • Ability to independently and efficiently handle complex, contested negotiations with our customers and suppliers

  • Strong business and legal acumen with the ability to: quickly identify legal and business issues; balance risks; and devise and articulate creative and practical solutions to various internal and external audiences in a time-sensitive dynamic and fast paced global environment

  • Excellent communication skills (both verbal and written). Ability to communicate legal issues in a clear and understandable manner

  • Solid negotiation skills

  • Strong work ethic and ability to multi-task and effectively manage a high-volume workflow

  • An excellent ability to: grasp legal and business issues quickly; balance risks; exercise sound judgment; and provide practical, constructive and timely counsel in a growing, dynamic, entrepreneurial and fast-paced business environment

  • Strong organizational skills, detail oriented, innovative, strategic, self-motivated and able to motivate others

  • Desire and ability to build strong working relationships with internal clients and business partners

Pay Range: $112,000-$193,000

Education, experience, location and tenure may be considered along with internal staff equity when job offers are extended.
